By using our website, submitting information, scheduling a call, calling our demo line, purchasing services, or otherwise interacting with Baird Shield, you agree to these Terms. If you do not agree, you should not use our website or services.

These Terms are incorporated with and should be read alongside our Privacy Policy.

1. Services

Baird Shield LLC provides communication automation and lead-response services for plumbing companies and other local service businesses.

Our services may include:

- Missed-call text-back automation
- Lead follow-up workflows
- Appointment confirmations and reminders
- Scheduling-related communications
- Customer communication tracking
- Automation setup, support, and related consulting
- Communication workflows managed through third-party platforms such as GoHighLevel

Baird Shield helps businesses respond faster to inbound inquiries, missed calls, service requests, and appointment-related communications. We are a technology and automation service provider. We do not guarantee any specific number of leads, customers, booked jobs, revenue, or business results.

We may update, modify, suspend, or discontinue parts of our services as needed.

2. Eligibility and Account Responsibilities

You must be at least 18 years old to use our services.

When you submit information to Baird Shield, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of any contact, billing, or business information you provide.

If you are a business client, you are responsible for ensuring that your use of Baird Shield services complies with all applicable laws, including laws related to consumer communications, marketing, privacy, consent, SMS messaging, email communications, and call handling.

3. SMS Messaging Terms

Baird Shield may send SMS messages directly or on behalf of client businesses through platforms such as GoHighLevel.

By providing your mobile number and opting in to receive messages, you consent to receive SMS communications related to your inquiry, missed call, appointment, service request, or business interaction.

SMS messages may include:

- Missed-call follow-up messages
- Appointment confirmations
- Appointment reminders
- Scheduling updates
- Service-related follow-up
- Lead-response communications

Message frequency varies based on your activity, inquiry, appointment status, or interaction with Baird Shield or a Baird Shield-powered business.

Message and data rates may apply. Contact your wireless carrier for questions about your mobile plan.

You may opt out of SMS messages at any time by replying STOP. After replying STOP, you may receive one confirmation message. You will not receive further SMS messages from that messaging program unless you opt in again.

Carriers are not liable for delayed or undelivered messages.

Consent to receive SMS messages is not a condition of purchasing any product or service.

SMS opt-in data, phone numbers, and consent records will not be sold, rented, or shared with third parties for their marketing or promotional purposes. For more details, please review our Privacy Policy.

4. Acceptable Use

You agree not to use our website or services to:

- Send unsolicited or unauthorized communications
- Contact individuals without proper consent
- Violate the Telephone Consumer Protection Act, CAN-SPAM Act, A2P 10DLC rules, carrier requirements, or other applicable communication laws

- Damage the reputation, deliverability, or messaging infrastructure of Baird Shield, its clients, or its providers

We may suspend or terminate access to services if we believe these Terms or applicable laws have been violated.

5. Client Responsibilities

Business clients using Baird Shield services are responsible for:

- Obtaining proper consent before contacting leads or customers
- Providing accurate business information
- Honoring opt-out requests
- Reviewing and approving messaging content, workflows, and automations
- Ensuring their own compliance with applicable industry, privacy, advertising, and communications laws
- Promptly notifying Baird Shield of any compliance concerns, customer complaints, or required changes

Baird Shield may assist with automation setup and communication workflows, but each client remains responsible for how their business uses those communications.

6. Payments and Billing

Fees for Baird Shield services are based on the applicable checkout page, invoice, payment link, proposal, subscription, or written agreement.

Payment terms may include setup fees, recurring subscription fees, usage-based charges, or other service fees depending on the selected plan or arrangement.

Unless otherwise stated in writing, payments made to Baird Shield LLC are non-refundable.

We may suspend or discontinue services for failed payments, unpaid balances, billing disputes, or payment method issues.

Consumers who receive communications from a business using Baird Shield are not charged by Baird Shield for those communications. Standard message and data rates from their wireless carrier may apply.

7. Third-Party Platforms

Baird Shield services may rely on third-party platforms, tools, carriers, software providers, payment processors, CRM systems, phone providers, email providers, or messaging providers, including but not limited to GoHighLevel and Stripe.

We are not responsible for outages, delays, policy changes, pricing changes, service interruptions, account restrictions, message filtering, or failures caused by third-party platforms or carriers.

Your use of third-party services may also be subject to their own terms, policies, and privacy practices.

8. Intellectual Property

All Baird Shield branding, website content, service materials, workflows, automations, templates, designs, processes, documentation, and related materials are owned by Baird Shield LLC or its licensors.

You may not copy, reproduce, distribute, modify, sell, or use Baird Shield materials without prior written permission.

Information, data, or content submitted by clients or users remains the property of the submitting party. You grant Baird Shield a limited right to process, store, and use such information only as necessary to provide services, support, compliance, billing, and related business operations.

9. Disclaimers

Baird Shield services are provided on an “as is” and “as available” basis.

We do not warrant or guarantee that:

- Services will be uninterrupted, error-free, or always available
- SMS, calls, emails, or other messages will always be delivered
- Automations will result in specific leads, booked jobs, revenue, or business outcomes
- Third-party platforms or carriers will perform without interruption
- Our services will meet every business need or expectation

Message delivery may depend on wireless carriers, device settings, internet access, third-party systems, and other conditions outside our control.

Baird Shield LLC is not a law firm and does not provide legal advice. Any compliance-related materials, recommendations, or workflow suggestions are for general informational purposes only. You are responsible for consulting qualified legal counsel regarding your specific obligations.

10. Limitation of Liability

To the maximum extent permitted by law, Baird Shield LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes damages for lost profits, lost revenue, lost data, business interruption, missed leads, missed appointments, failed message delivery, customer complaints, or other commercial losses.

To the maximum extent permitted by law, Baird Shield LLC’s total liability for any claim related to these Terms or our services will not exceed the greater of:

- The amount paid to Baird Shield LLC by the client in the three months before the claim, or
- One hundred dollars ($100)

Some jurisdictions do not allow certain limitations of liability. In those cases, our liability is limited to the greatest extent allowed by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Baird Shield LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

- Your use of our services
- Your violation of these Terms
- Your violation of any law, regulation, or third-party right
- Communications sent through or related to your business
- Failure to obtain proper consent
- Inaccurate, misleading, or unlawful information you provide
- Customer complaints, disputes, or claims related to your business operations

12. Termination

We may suspend, restrict, or terminate access to our services at any time if we believe:

- You violated these Terms
- Payment has failed or remains unpaid
- Your use creates legal, operational, reputational, or security risk
- Required consent or compliance standards are not being met
- Third-party providers require suspension or restriction

Business clients may cancel services according to the terms of their checkout, invoice, subscription, proposal, or written agreement.

After termination, we may retain records as needed for legal, compliance, billing, security, fraud prevention, and operational purposes.

13. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or Baird Shield services shall be handled in courts of competent jurisdiction located in Ohio, unless applicable law requires otherwise.

14. Changes to These Terms

We may update these Terms from time to time.

When we update these Terms, we will revise the “Last Updated” date above. Continued use of our website or services after updated Terms are posted means you accept the revised Terms.
